If you have OEM windows key then you need to but a new key, if retail I recommend a reformat anyway

Ya i have a retail copy of window 7, so put all my files in another external hhd and then reformat? reformat after or before installing the new part?

There is a software, I believe Driver cleaner something like that, it strips all the drivers off the Harddrive_ Just swap everything onto the new motherboard or what not and plug in harddrive and boot it up_ You can do a bootup repair(SO I recommend making a bootup repair disc)

Reinstall all the new drivers(Should be package with your motherboard CD) Reboot a few times, windows update, its actually quite easy_

If you are running on AHCI mode for your Harddrive right now make sure to set this setting for your Sata ports in BIos for the new motherboard(Most boards come preset to IDE on the sata ports) (Windows will not bootup if your current setup is on AHCI and the new motherboard is on IDE mode)
