Resolved.

In my bios I can set the amount of dedicated system memory for PCI Express devices.

It was on auto, failed.

I tried 3gb, it worked, leaving windows xp 32bit with 1gb..

so I tried 1gb, fail, 1.5gb fail. 2gb works. my graphics cards are both 512mb, total 1gb, so maybe needs to dedicate double the amount of graphics memory?

Either way, im rolling xp 32bit with tripple channel 1600mhz and sli 8800gt, im happy. 2gb system memory, 2gb graphics. lets do some benchmarking
