What upgrades should I be looking at?

Hi Everyone.

I have a couple questions about upgrading.

Current system:

E8400 Intel. Overclocked from 3ghz to 3.4ghz

5770 Cucore. That does O/C stable to 950/1340. Usually leave it at 850/1250

EP43-Ud3L Gigabyte Motherboard

4 gigs of Kingston Ram 667

600 watt Corsair PSU

Would it be possible to just upgrade the motherboard/processor to lets say:

Motherboard:
Gigabyte GA-H67A-UD3H-B3 w/ Dual DDR3 1333, 7.1 Audio, Gigabit Lan, 1394, PCI-E, CrossFireX
Or
ASUS P8P67 R3 S1155 INT P67 2XPCI-E 16X, 4XDDR3-1600MHZ 1600/1333 FSB SATA 6GB/S ATX

Processor:
INTEL QUAD CORE I5 2400 3.1GHZ 6MB

And use my current video card(5770), current harddrive and PSU.

Would I see a significant increase in performance in games like Rift? Would I need to upgrade RAM as well? If so any suggestions? Right now Im getting low FPS in 20 man raids/rifts under "high" no shadows settings. FPS varies quite a bit.
Im looking at ways to boost performance without having to put low quality renderer on or buying $800 in computer parts.

Im wondering if my MB/CPU are being bottlenecked by the gpu and games.

Im currently unemployed and Im looking at the most cost-effective upgrades.

yeah go with the asus and 2500 then try get 2 gig more ram incase. should not be to expensive.
