its oem but i didnt change mobo,and i went and reactivated it did,then tryed to do updates and still says not valid,it started when i put a 7300gs v-c in while waiting for my 8800 gts-320

You may have to call Microsoft, they will re-activate it for you and give you the number you need to do it. All you should need is your CD key when you call I believe.
