If it's the retail verision then you should just need to order an x64 install disc from Mircrosoft, though if its OEM you'll have to purchase a new license.

The following is what defines "Retail" and "OEM":
Retail - You buy it yourself. With the original box and papers. You are legally allowed to use it on one computer at a time.
OEM - You can also buy it yourself but it will only computer with the DVD/CD and COA (Certificate of Authenticity). The ones that ship with companies (Dell, HP, etc.) are OEM. You are legally allowed to use it on one computer ONLY. You cannot transfer it to another computer (technically you can, but it's illegal).

I don't understand the "xp pro retail cd as x64 is professional?" question.

The Serial number dictated what version you have. Trying a 32bit serial number with 64bit software will not work. You will have to purchase another license.
