When this happens to me, the first thing I do is see what I installed last and remove it. If that doesn't work, I run memtest for 3 passes to see if it fails. If that still doesn't work, I reset CMOS and run stock speeds for a bit to see if that helps. If it isn't doing it at stock, you might want to lower the OC.

your problem lies in your ram/drivers

burn of memtest98 and run it. you can grabit from our down loads

check evient viewer for aditional infromation in the system folder and apps folder

I would imagine that the two files are pointing to something. "version.txt" and "sysdata.xml", those are both Microsoft Office files that you can open. I would try open them in Wordpad to see if something is missing from them. Also, you could see if anything in device manager comes up with a warning sign or anything out of the ordinary.

Also, what noobdown said, check your event viewer (if you didn't disable it). It can sometimes be wrong (atleast in XP), but it should point you in the right direction.
