You will have to re-install everything. You need 64 bit drivers, and some programs have 64 bit versions. Pretty much any 32 bit program will install in 64 bit Windows.
Yes, your 32 bit CD key will work if you have access to a 64 bit CD.

Now i am pretty sure i can get ahold of a 64bit disk.. or torrent one. i'm sure thats legal since i own the copy of the product key. Anyways, could i boot off a flash drive? because i don't have a dvd burner.

of course, just set it in your bios, first device boot up, your memory stick.
It has to be somewhat big of a flash drive though.

if you haven't installed x64 already, and/or are having trouble with installing it with a flash drive, you can use a disk image mounting software (google daemon tools) and mount the windows disk image to install vista. believe it or not you can do a clean install within you current install of windows this way! what this will do is start by copying some files to your windows drive so that when you reboot a clean install will begin. when all is finished you will have a clean install of windows, and a folder on your C: drive with your old windows install in there.

PS i recommend you invest $30 in a nice DVD burner
