Default From 32 XP SP3 to Vista64
Is it worth going to vista 64bit with 2gig on ram?
Or is 3/4gig a must have for 64bit?

No, 2GB is just fine with Vista 64

Its still worth it however you wont see much benefit with 2 gigs over XP

With 4 Gigs i would make the switch.
