ASUS. Better warranty (3-year serial # based - also higher resale), and reference/blower design is preferred to some (exhausts hot air out of not into the case).
Factory overclock is never worth paying for IMO, and XFXs track record in quality of components / service has been less than stellar since they've entered the AMD/ATi arena.

Out of the two?
ASUS...
Like others have mentioned, it has a 3-year warranty that is serial based.

Worst at idle and better at load.
Case airflow is pretty important in this case.

You can manually set the fans, so thats actually irrelevant. XFX just set the fans a little too low.

Go with the XFX one..

Unless you REALLY want a REFERENCE CARD, like for easier access to Water-Cooling Blocks ... I'd wait until SAPPhIRE, ASUS & MSI release their Non-Reference models which will most likely blow away these reference cards in terms of looks, potential quality of the internal components and maybe performance as well ... just my

We've seen that speculation about Sapphire having TOXIC and ATOMIC versions of HD-7970's or 7980's or whatever they may or may not be ... unless I was in a hurry to upgrade I'd wait a bit to see what those might be all about, and also for the initial price gouging of the retailers to subside down.

From personal experiences I've had with XFX I would tell you to get that. But now after seeing some heatmaps from a thread in Hardware news I would get the ASUS.

Exactly my point with reference cards. With that said I'd go with Asus or MSI over XFX any day..
