You really should be more specific. What features do you want? What are you going to use this PC for? How fast do you want the RAM to be?

Just head over to newegg.com, narrow down the search for something compatible with your processor and look at the ratings and prices.
thanks for the replies, NETio, Zig-Zag

i purchased the following so far
Intel Pentium Dual Core E5200 Processor
OCZ ModXStream 600 Watt Pro Power Supply
Cooler Master CM Storm Scout Mid Tower Case

**
i am mainly using this computer to do some video editing, word, surfing web etc.

1. would it be better to buy a onboard video card on the mobo
or
2. would it be better buy a mobo w/o video and buy a cheap video card?

i am not sure how fast the ram should be... do you guys think i need 2gig or 4 gig?

i pretty much want fast comp oc to maximize my $ worth and willing to buy a aftermarket fan to help OC it at stable settings.

If you are doing video editing, then I think you would need quite a good video card.

As for the ram, How much would you be doing at once? What OS?

Your gonna need a pretty decent GPU. I say a 8800GTX or a 9800GTX. I'm sure any DDR2 800 MHz ram is fine for him. 2 or 4 GBs will do him fine.

Generally, you'll get more performance out of a cheap graphics card than an onboard GPU
