I'm in the same situation with a copy of COD2, I have the retail but the 5th disk is scratched all to hell so I couldn't finish download. Only Idea i had was to torrent it.

Look up Activision's support number or email them. Very nicely and politely (with good grammar and spelling if you're emailing them) explain your situation. I've heard that some game distributors will send you a replacement disk (sans Key, of course) in situations like yours. Not saying it will work, but it's worth a shot IMO.
