Ok well right now i have a socket 939 mobo w/ a AMD 3200+ Venice @ 2.3 (only a 15% oc) and i have 2 ddr 512 sticks. My question here is this

If i decided to upgrade to AM2. The new mobo i would have to get would be ddr2...would i HAVE to HAVE ddr2 memory or could i use my ddr memory?

no, you would HAVE to have ddr2 if that's what AM2 supports. DDR2 is not backwards compatible.
