I'm still looking for a decent silent card, i thought i was going to choose between msi lightning /680 gigabyte 4gb/ asus 7970 matrix or 680 dc2. But somehow i noticed this card and im wondering if its any good, or just ref model with custom cooling? do you have any experience with 680 phantom? what would you recommend for person who searches for a silence and power

It's not a particularly good card, it's not even that quiet as the name and marketing may suggest.
As far as I know the Asus DCUII cards are the quietest, that includes the 7970 Matrix. If you want silence the 680 would be a better option because it runs cooler but the 7970 does generally perform better.

are asus cards noticeably quieter than 680 gigabyte for example? i really dont want to choose wrong, silence is most important thing right now for me. also i want to have more than 2gb so many 680 models are excluded from search

Cards are so efficient nowadays then every single 680/7970 will be quiet if running at stock voltage and fan profile. I have a 680 with a blower style fan and it's 100% silent even at full load.
If you plan on overclocking then these cards are the best noise wise:

4GB ASUS GTX 680 DirectCU II (any 680 is quiet if I'm honest)

The Gigabyte cards have great coolers but they are relatively loud compared to offerings from Asus.
