and i want to replace it with this....

I have a Phenom II 955 OC to 3.9GHZ on a MSI 790FX-GD70, is it worth it getting that memory?

Will it fit under your CPU cooling?

Not with a Noctua NH-D14 sitting their. There is really no point to go higher the 1600 - 1800 on a 955. Unless you are trying for to git good speed with great timing.

At $150 for 2x2GB not at all. Aside from 7-10-10 being ripoff timings, your 955 will probably not get there anyway.
Just spend on a cheap set of 2x2GB (or 2 sets for 4x2GB); a good choice would be G.Skill Ripjaws 7-8-7 on NCIX for $63.55 after price match.

I think i'll go with these....

G.SKILL F3-12800CL7D-8GBRH Ripjaws PC3-12800 8GB 2X4GB DDR3-1600 CL7-8-7-24 1.6V Memory Kit

After selling my memory i'll just need to add 60$ to buy them and i'm starting to use CS5 and 3D softwares like Maya and 3DS 2011 a lot so 8GB will be better then 6GB for me.

Am i right here?

Yes but what I'm trying to say is that they are probably capable at running the same timings for a good pit less money.
