Problems OCing e8400

I just bought the Wolfdale E8400 with a stock of 3.0ghz. I cannot get it to go past 3.15ghz. My CPU will start up and restart itself twice before allowing me to bootup. I am extremely upset considering that people before me have achieved a 3.6ghz on stock voltage. I have overclocked processors before but there is something wrong here. I would appreciate any help I can get!

Specs:
Intel E8400 3.15ghz
Gigabyte EP45-UD3R board
4 GB OZC 1066mhz Ram
EVGA 9800 GTX+ 756mhz CC
Arctic Freezer Pro 7

P.S. My idle temp right now is at 38c according to Everest Ultimate.

P.S.S If it were getting too hot before startup would the PC recognize that and shutdown before even POSTing? Im concerned that I might have either not added enough thermal compound or that my heatsink isnt properly attached..... Going to try to redo those now.

Disable intel speedstep and c1e in your bios.
Yeah I would reseat your heatsink first, and chances are you put to much TIM on it, not too little. Then after that let us know how it goes.
Have you unlinked your RAM? What settings are you trying? What voltage are you putting through? I need a bit more info before I can help.
I cant find the speedstep or the c1e in my mobos bios? Ive been trying to get it at 400fsb with 9 multiplier on stock voltage Bebster. And no I didnt unlock my ram. Forgot about that. And I added more thermal but then realized that i added to much.... So i cleaned it off and reset my heatsink and got the temps down to 32 while writing this post.
i was about to say the temps were a bit high but now that your at 32c thats good. im at 40c @ 4.050ghz with c0 stepping. ill see if i can find pictures of the bios because the speedstep and c1e prevented me from getting any sort of oc when i tried. loosen the timing on your ram a little bit as that allowed me to push mine to the 4.00ghz mark. hopefully unlinking your ram will also help (i havent tried it linked in my setup so im not to sure on that.)
You might need a bump up above stock on your vcore, try upping it a notch or two.
Ok so i found the speed step. EIST is what its called and I was looking for SpeedStep. I also disabled the C1E but still nothing. Tried upping the voltage to 1.3 and still nothing. Where is the option to unlink my ram? I cant find it on this board.... Gigabyte has a weird bios.
Alright so i finally played around alittle more and unlinked the RAM. Well actually i found out that this board doesnt really unlink the RAM completely. So now im running at 3.6ghz with 9x 400mhz. So one last question, what is a good cpu temp? While writing this im at 35c but if i were to push this guy to 3.8 or even 4.0 what temps should i be expecting? Im cooling with air.
I bet that your RAM is just taking you down, because 0.15GHz overclock won't need any voltage increase, that's pretty sure. Just unclock your RAM.

35c under what? is that idle or load? if so what kind of load? how is the ambient temp?

if thats idle its not a bad temp, maybe a tab bit high but not by much. at 4.00ghz and at a complete idle my temps are at 34c with the thermaltake v1 and the ambient is at about 50f (if not lower).

Idle -temperatures aren't so important.
