Question about Voltage

my bios does not allow me to change my voltage settings. i was wondering if this will effect my overclocking or is there a way around this. i suppose i could overclock just enough where upping voltage would not be required.

Yes, it will limit your OCing, but you might as well go as far as your voltage will allow you to.

what would be the max overclock with out having to up voltage
It depends on the processor and the remainder of the components in your computer system.

Looking at your system components I would hazzard a guess at 3.2GHz perhaps, maybe more, maybe less depending on your other components. Especially memory in this case.
