Somethings wrong with my RAM or Motherboard

I can run both of my memory sticks in my computer but they can't be in at the same time or my computer will randomly freeze up or reboot. they can also be placed in either slot. there both the same brand and both same timings and everything so i'm not sure whats wrong.

Which slots do you have them in when you try both sticks at the same time?
could be a dead RAM slot
Did you try different combinations in the ram slots with the two sticks?
I'm not using any DDR2. both DDR3 slots work as long as one of them is empty if they both have a stick in them then it will freeze up randomly. but if I have one in and it can be in either slot it will work fine. So I know both slots work just not together. Its done this with every OS I've tried XP, Vista 32bit and 64, 7 32bit and 64, ubuntu, SUSE, Mint... so I don't think its a software.
Did you update the bios on the motherboard?
I've never updated the bios. its been the same since I bought it.
You might try to update the bios looks like there is a different bios update for ddr2 and ddr3.
It has the latest version and i don't have the slightest idea how to update a bios.
