Unknown Stability Issues

Hey guys, so I've been having a lot of stability issues. Just general stabability in Windows (Running Win7 Pro 64-bit, but seen problems with vista also), and also BSODs and such....

I noticed recently that my harddrive was making clicking noises, and I wanted a bit of a size upgrade so I have a brand new western digital caviar black, I also just finished testing all my memory (one stick at a time, and in different slots), and they all passed.

So still with these issues I'm wondering if its a) my motherboard issue, or b) compatability issue between the memory and mobo?

Its also a fresh install of Windows will all up to date drivers.

Also, while I was doing memtest, after it was done, i would exit memtest, then hold the power button, to power down to switch sticks, after switching sticks, when I boot up, I would get Overclocking failed, and F1 to ender setup, F2 to restore defaults, and the one of the times, all my BIOS settings were actually lost, and it auto loaded default settings again...

Does this sound like a motherboard issue to you guys or?

Any suggestions or commentary welcome! Thanks!

Try a different psu. Also a different mobo.

hmmm I've tested my PSU and it checks out ok.... but the problem is, that its not a constant stability issue... it'll go away at times then occur again for a bit. so I new mobo could be very hard to diagnose :\\
"I also just finished testing all my memory (one stick at a time, and in different slots), and they all passed".

When you say they passed what do you mean? Passed what? Do you mean they each booted up?
